Terms of Service

1.1 Age Requirements & COPPA Adherence

The Services are designed for general audiences and are not directed to children under 13 years of age. In strict adherence to the Children's Online Privacy Protection Act (COPPA), you must be at least 13 years old to register an account or use our Services. If you are under the age of majority in your jurisdiction, you represent that you have obtained parental or legal guardian consent to agree to these Terms.

We implement age-verification mechanisms during registration. If we discover that personal data has been inadvertently collected from a child under 13 without verifiable parental consent, we will immediately terminate the account and execute an automated, permanent purge of all associated records across our database registries.

1.2 Entity Representations

If you are registering an account, submitting content, or participating as a Creator or Partner on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms. In such cases, "you" and "your" will refer to that entity.

2.1 Permitted Use and Prohibitions

You agree to provide accurate, current, and complete information during registration and keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials (including AWS Cognito logins) and for all activity occurring under your account.

You agree to use our Services only for lawful purposes. You must respect other users and avoid behavior that could harm, harass, or infringe on the rights of others, or attempt to interfere with or disrupt the platform's functionality, security, or integrity.

2.2 Strict Asset Protection & Anti-Ripping

The Services facilitate the display and deployment of premium 3D digital blueprints, textures, 3D models (GLB/GLTF), and digital twins. You are strictly prohibited from copying, extracting, downloading, ripping, scraping, or attempting to reverse-engineer any client-side assets, 3D files, textures, or digital blueprints from our website or game clients.

Any unauthorized extraction or replication of digital blueprints, models, or assets represents a material breach of these Terms and a violation of intellectual property laws, which may result in immediate account termination, a permanent platform ban, and legal action for damages.

2.3 Creator Obligations

Creators participating in our Partner program must maintain active, functioning, and secure Off-Platform Destination URLs (e.g., e-commerce storefronts). Creators must honor purchases and referrals in good faith, comply with all applicable consumer protection, advertising, and data protection laws (including GDPR and COPPA) for off-platform sales, and must not circumvent MAVAMADE tracking, attribution metrics, or platform fees.

3.1 Platform IP Ownership

GracyWoods Games Limited retains sole and exclusive ownership of all platform code, databases, user interface (UX/UI) designs, ledger systems, narrative frameworks, AI-assisted generation engines, characters, and original MAVAMADE branding. No license or right is granted to you except as expressly set forth herein.

3.2 Creator IP Ownership

Creators, brand partners, and artists retain all ownership rights in the materials, 3D models, textures, likenesses, and branding they submit or approve for use on MAVAMADE ("Licensed Content"), subject to the worldwide, non-exclusive licenses granted to GracyWoods Games Limited under Section 4.

4.1 Definitions

"Licensed Content" means all 3D models (e.g., GLB), textures, character designs, likenesses, product listings, descriptions, commerce metadata, and logos supplied or approved by a Creator.

"Digital Twin / Collectible" means a digital representation of a product or character authorized for purchase, collection, or utilization on our platform.

"LitsGO Integration" means the deployment of Licensed Content in the LitsGO interactive environment, including wardrobe mechanics, narrative sequences, and cloud-hosted assets.

"Off-Platform Destination" means external digital storefronts or checkout URLs designated by the Creator.

4.2 Grant of License to GracyWoods Games Limited

By submitting or approving Licensed Content, Creator grants GracyWoods Games Limited a worldwide, non-exclusive, sublicensable, and transferable license (including the right to sublicense to payment processors, cloud hosts, and AI service providers) to host, reproduce, modify (for technical formatting and localization), publicly display, perform, distribute, and facilitate the sale of Licensed Content on MAVAMADE Marketplace, Collections, and Gear Shop.

This grant includes integrating Licensed Content into LitsGO (rendering character outfits in gameplay and wardrobe UI, granting items to player inventories, utilizing metadata in AI content generation), and using Creator's name, brand logos, and character likeness (including AI-generated derivative visuals based on submitted assets) for co-promotion, social media, and in-game displays.

4.3 Off-Platform Routing & Conversion Tracking

GracyWoods Games Limited may place call-to-actions, QR codes, and redirects to Creator's Off-Platform Destination, appending tracking parameters (e.g., UTM tags, referral IDs) to measure conversion events. Creator consents to the processing of personal data for revenue attribution as disclosed in our Privacy Policy, and represents compliance with GDPR/CCPA for such transactions.

4.4 Creator Representations & Warranties

Creator represents and warrants that they own or control all rights in the Licensed Content, that it does not infringe any third-party intellectual property or privacy rights, that any real-person likeness has been cleared with signed releases, and that all listing details are kept current and accurate. MAVAMADE performs asset validation and moderation, reserving the right to reject, suspend, or remove content violating platform policies or laws.

5.1 Service Uptime & Modifications

We strive to maintain high service availability, but we do not guarantee uninterrupted access. GracyWoods Games Limited may suspend, modify, or discontinue any part of the Services (including gameplay databases, marketplace listings, or character systems) without prior notice or liability.

5.2 Virtual Currencies & Platform Coins

Our platform promotes "digital twins," and you may acquire virtual items or platform currencies such as coins, gems, or MAVA XP. IMPORTANT: Coins, gems, and MAVA XP represent virtual gaming and promotional points with absolutely no real-world monetary value. They are not legal tender, do not constitute real-world money or stored value, and strictly cannot be used as external currency, or exchanged for real-world physical products or fiat currency of any kind.

These virtual items represent a temporary, non-convertible, non-transferable, and non-refundable digital license issued solely for interactive gameplay and on-platform digital twin promotion. Any transfer, sale, or exchange of virtual currencies outside our official systems is strictly prohibited.

5.3 Commercial & Payout Terms for Creators

Creators receive payouts based on commercial schedules (e.g., percentage of Net Receipts) processed securely via Stripe Connect. "Net Receipts" means gross amounts received minus payment processing fees, chargebacks, refunds, taxes, and platform fees. Refunds and chargebacks will be deducted from future creator payouts.

5.4 CREME Campaign Coin Pledges

When you pledge MAVA coins toward a creator production campaign, you authorize us to hold the stated coin amount in your wallet at the time of pledge. Held coins are deducted when the campaign reaches its published pledge goal and production is triggered. If a campaign does not reach its pledge goal, held coins are refunded to your spendable balance after 30 days from the campaign failure date, as described in our Privacy Policy Refund Policy section.

You must acknowledge these hold and refund terms in the pledge confirmation modal before a coin pledge is submitted. Pledge records are stored in our commerce ledger for audit, fulfillment, and refund processing.

6.1 "AS-IS" Provision & Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind. GracyWoods Games Limited disclaims all warranties, express or implied, including fitness for a particular purpose, non-infringement, or merchantability.

6.2 Cap on Legal Liability

To the maximum extent permitted by applicable Hong Kong law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill).

The aggregate liability of GracyWoods Games Limited under these Terms is strictly capped at the total fees paid by you to GracyWoods Games Limited in the twelve (12) months preceding the event giving rise to the claim, or $100 USD (whichever is greater), except in cases of indemnification or willful misconduct.

6.3 Creator Indemnification

Creator agrees to defend, indemnify, and hold harmless GracyWoods Games Limited and its affiliates, officers, and contractors from any claims, liabilities, or losses arising from Creator's Licensed Content, breach of representations, Off-Platform Destination transactions, or failure to obtain third-party clearances or likeness releases.

7.1 Term and Delisting

These Terms remain in effect until terminated by either party. You may delete your account at any time. Creators may request SKU delisting with reasonable notice, which we will process in a commercially reasonable timeframe.

GracyWoods Games Limited may terminate this agreement or suspend your access immediately for material breach (with a 15-day cure period if applicable), or upon 30 days' notice for convenience. Upon termination, commercial use of Creator assets ceases, except to honor existing customer entitlements already sold.

7.2 Governing Law & Adherence

These Terms are governed by, and construed in accordance with, the laws of Hong Kong, without regard to conflict of law principles. The Services strictly adhere to EU Data Protection Regulations (GDPR) (including the mandatory execution of Data Protection Impact Assessments for automated processing and profiling systems), the Children's Online Privacy Protection Act (COPPA), and other major international standards, as detailed in our Privacy Policy.

7.3 Binding Individual Arbitration & Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including their validity, invalidity, breach, or termination, shall be referred to and finally resolved by binding individual arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong.

Class Action Waiver: You and GracyWoods Games Limited agree that any arbitration or legal proceeding shall be conducted solely on an individual basis. You and GracyWoods Games Limited explicitly waive any right to resolve disputes through class, collective, or representative actions.

8.1 Notification of Updates

We reserve the right to modify these Terms of Service at any time. When material changes are made, we will post the updated Terms and revise the effective date. For significant updates, we may notify you via dashboard alerts or registered email.

Your continued use of our Services following the posting of changes constitutes your binding acceptance of the updated Terms. If you do not agree to the revised terms, you must cease using the Services immediately.
